NEUROLENS TERMS OF SERVICE

Applies To: Neurolens web application (AI screening, assessments, reporting)

1. DEFINITIONS

“Platform / Neurolens”

AI-supported assessment application operated by Gabify.

“User / Clinician / Professional”

An authorized individual representing a licensed institution (clinic, school, hospital, NGO).

“Institution / Enterprise Client”

The organization purchasing or using Neurolens.

“Child / Patient”

An individual whose data is input into Neurolens.

“AI Output”

Insights, suggestions, or screening results generated by the AI system.

2. ACCEPTANCE OF TERMS

By accessing Neurolens, you (“User”) agree to:

• These Terms of Service
  
• Neurolens Privacy Policy
  
• Data Processing Agreement (entered with your institution)
  
• Consent & Data Usage Policy
  
• Refund and Cancellation Policy
  

If you do not agree, you must stop using Neurolens immediately.

3. LICENSE TO USE NEUROLENS

Gabify grants the Institution a limited, revocable, non-exclusive, non-transferable license to use Neurolens for:

• Clinical screening
  
• Assessment documentation
  
• Generating digital reports
  
• Institutional workflows
  

The license cannot be used for:

• Resale
  
• Public-facing products
  
• Training other AI tools
  
• Building competing systems
  

4. USER ELIGIBILITY

Neurolens may only be used by:

• Speech-Language Pathologists (SLPs)
  
• Psychologists
  
• Pediatricians
  
• Special educators
  
• Clinical therapists
  
• Hospitals, clinics, schools & NGOs
  

User Must:

• Be a verified professional
  
• Use the platform responsibly
  
• Follow ethical clinical guidelines
  

Unauthorized users are prohibited.

5. AI OUTPUTS & CLINICAL RESPONSIBILITY

Neurolens is an assistive tool, not a diagnostic system.

By using Neurolens, you agree that:

• AI may make mistakes
  
• AI outputs must not be treated as medical diagnoses
  
• A qualified professional must review and validate all results
  
• Gabify is not responsible for clinical decisions made solely based on AI outputs
  
• All responsibility for patient care lies with the professional
  

This is a key legal requirement under AI and healthcare laws.

6. DATA RESPONSIBILITY

Institution’s Responsibility

The institution is the Data Fiduciary and responsible for:

• Obtaining parent/guardian consent
  
• Ensuring lawful collection of child data
  
• Accuracy of information entered
  
• Complying with local regulations
  

Gabify’s Responsibility

Gabify acts as Data Processor and ensures:

• Secure processing
  
• Restricted access
  
• AI model training only with explicit consent
  
• No misuse or unauthorized sharing
  

7. PROHIBITED USES OF NEUROLENS

Users may not:

• Upload data without legal consent
  
• Attempt reverse engineering
  
• Use the system to profile individuals outside clinical use
  
• Train external AI systems using Neurolens data
  
• Use Neurolens in legal disputes as sole evidence
  
• Conduct automated scraping
  
• Share login credentials
  

Violations will result in termination and legal action.

8. SUBSCRIPTION, FEES & PAYMENT TERMS

If applicable:

• Subscription fees are payable in advance
  
• Enterprise contracts specify pricing
  
• Non-payment may result in suspension
  
• Taxes apply as per Indian law

9. SERVICE AVAILABILITY

Gabify strives to maintain:

• 99% uptime
  
• Regular updates
  
• Scheduled maintenance windows
  

Gabify is not liable for downtime due to:

• Cloud failures
  
• Internet issues
  
• Security incidents
  
• Force majeure events
  

10. INTELLECTUAL PROPERTY

Gabify owns:

• Neurolens software
  
• AI algorithms
  
• Prompt structures
  
• Assessment workflow designs
  
• All reports generated (excluding raw patient data)
  
• Analytics dashboards
  

Users may not:

• Copy
  
• Reproduce
  
• Modify
  
• Sell
  
• Create derivative works
  

without written permission.

11. CONFIDENTIALITY

Users must maintain confidentiality of:

• Child data
  
• AI outputs
  
• Assessment models
  
• Institutional data
  

Gabify maintains strict confidentiality via internal controls.

12. SECURITY OBLIGATIONS OF USERS

Users must:

• Use strong passwords
  
• Restrict access to authorized personnel
  
• Report breaches immediately
  
• Prevent misuse of accounts
  

Gabify reserves the right to investigate suspicious activity.

13. LIMITATION OF LIABILITY

To the maximum extent permitted under Indian law:

Gabify is not liable for:

• Clinical decisions
  
• Misinterpretation of AI outputs
  
• Loss of data due to user actions
  
• Downtime of external cloud providers
  
• Indirect or consequential losses
  

Total liability shall not exceed 3 months of subscription fees paid.

14. INDEMNIFICATION

Users and Institutions agree to indemnify Gabify for:

• Unauthorized use of Neurolens
  
• Violation of laws
  
• Incorrect clinical practices
  
• Upload of data without consent
  
• Breach of these Terms
  

15. TERMINATION

Gabify may terminate accounts for:

• Breach of terms
  
• Misuse of data
  
• Inappropriate clinical conduct
  
• Non-payment
  
• Legal requirements
  

On termination, users must:

• Stop using the platform
  
• Delete locally stored data
  
• Cease use of AI outputs
  

16. GOVERNING LAW & DISPUTE RESOLUTION

Governed by Indian laws.

Disputes are subject to New Delhi jurisdiction, unless otherwise specified in enterprise contracts.

17. CHANGES TO TERMS

Gabify may update these Terms with notice.

Continued use constitutes acceptance.
